This article of agreement made and entered into this August 22nd 1881 by
and between  John  B.Misners,  C.W.  Chamberlain,  A.J.  Lawrence,  S.H.
Livingston and W. J. Sisney all of Barry Count, Missouri for the purpose
of mining and prospecting for mineral upon the following described lands
said company to be known by the  name  of  Barry  County  Silver  Mining
Company, situate in Barry County, Missouri to wit: SW qr of Sec 32  Town
(23) Range 28 (?)

1.) It is agreed by and between the parties they  form  a  copartnership
for the purpose of prospecting and mining and for that purpose alone—

2.) That each number of such copartnership shall furnish  one  fifth  or
equal shares of all money to be expended and to  receive  one  fifth  or
equal share of all profits arising from such prospecting and mining  and
that each member shall perform or cause to be performed one fifth of all
labor necessary for the successful carrying on of such mining  business.
And all profits or losses arising from such mining business to be shared
equally by each member.

3.) It is further agreed by and between the partners  that  in  case  of
neglect, failure or refusal of any number of this copartnership to do or
perfom each and  every  duty  devolving  upon  him  by  virtue  of  this
agreement for such neglect failure or refusal he shall forfeit all right
title and interest that  he  may  have  at  the  time  in  hsuch  mining
busieness—and such interest shall revert and be vested in  remaining  to
the numbers of this company.

4.)It is further agreed  by  and  between  the  parties  that  upon  all
questions arising as to the amount of money to be  expended  the  manner
and way in which it shall  be  expended  this  amount  of  labor  to  be
performed the way in which it shall be performed and all other questions
arising as to how such mining business shall be conducted shall be  left
to a vote of such members and upon all such questions a  majority  shall
rule.

In testimony whereof we have set our hand this August 22nd, 1881.
