THE LAST WILL AND TESTAMENT OF GRANT B. BALDWIN

In the  name of  God, Amen. I  Grant B. Baldwin  of Elmira in  the County of
Chemung  and State  of New  York, being  in feeble  health but of  sound and
disposing mind and memory, do make publish and declare this my last will and
testament in manner and form following that is to say-

First. I  will and  direct that all  my just debts  be paid,  by my Executor
hereinafter named  as soon as may be conveniently  done, of the avails (sic)
of my estate; and  also two certain notes now held by the Chemung Canal Bank
against my  father William Baldwin, on  which I am an  endorser amounting to
about  five hundred  and  eighty dollars,  and  also the  Towanda Bank  debt
against my said father  of three hundred dollars, all of which debts I order
& direct to be  paid by my said executors, out of my said estate, as soon as
they can be conveniently done, my will and desire being to relieve my father
from the same.

Secondly.  I give  and bequeath to  my beloved  wife Myrilla Baldwin  all my
household furniture of every description, including my pianoforte, sideboard
and  two  clocks-to  be  by her  disposed  of  as  she  shall think  proper.

Third. I give and bequeath to my beloved father & mother and the survivor of
them, during  his or her natural  lives of life the use  of the bay mare and
waggon and clock owned by me & now in their possession.

Fourth.  I do  hereby will  order and  direct that my  executors hereinafter
named, or  the survivor or survivors  of them or a  majority thereof, he and
they are  hereby authorized to sell, dispose of  and convey all and singular
my real  estate whatsoever  & wheresoever the  same may be  situated, or any
part thereof, in their  discretion, of the discretion of a majority of them,
or of the survivor  of them, in such manner, and for such prices and on such
terms, as they or a majority of them shall deem proper and expedient, and on
such  sale or sales  thereof or of  any part  thereof, to make,  execute and
deliver  to the  purchaser  or purchasers  thereof their  heirs  and assigns
forever,  good, perfect  and  full conveyance, in  fee, with  covenants of
warranty  or  otherwise  as  they  shall  deem expedient  &  proper,  hereby
granting, giving  and conveying,  for the purpose  aforesaid and to  my said
executor or the majority of them, or the survivor or survivors or a majority
of them,  for the  time being, full  power and authority  to grant, bargain,
sell and convey my said real estate of any part of parcel thereof as fully &
completely as  I myself could now do, and from the  proceeds thereof & of my
personal estate,  not herein specially disposed of  I will order, and direct
that all my debts,  together with those of my father herein before specified
be paid by my said executors.

Fifth. In the event  of the sale of my said real estate of any part thereof,
it  is my  desire,  (in case  my said  wife should  unite in  the conveyance
thereof.) That one third of the proceeds thereof should be so invested as to
produce income  to her during her natural life, the  use & profits thereof &
after  her decease  to be  equally divided  amongst my  children hereinafter
mentioned share & share alike.

Sixth. All  the rest, residue and remainder of  my estate (after the payment
of the debts above mentioned & all just charges dispensed) I give bequeath &
devise to my beloved children, James W. Baldwin, Jubal M. Baldwin, Josiah S.
Baldwin,  Morris Baldwin,  Susan  T. Baldwin,  & Azubah  Baldwin,  and their
respective  heirs,  executors,  administrators  and assigns  to  be  equally
divided amongst them share and share alike.

It is my express desire that my executor dispose of all my personal property
not   herein   specially  disposed   of   immediately   after  my   decease.

Seventh. I do hereby  nominate, constitute & appoint my beloved wife Myrilla
Executrix and my son James W. Baldwin and my friends Jonas Sayre and William
Maxwell my executors of  this my last Will and Testament hereby revoking all
or any will or wills by me ever before made.

In  witness  wherof  I  have  hereunto  set  my  hand and  affixed  my  seal

this thirtieth day of December A.D. 1839.

Signed sealed published & declared by the above named Grant B. Baldwin to be
his last will & testament, in the presence of us, who have hereunto subscribed
our names as witnesses thereto at his request and in his presence & in the
presence of each other.

All of  the Village of Elmira in the county of Chemung & State of New York

Codicil   to   the  last   will   and   testament  of   Grant  B.   Baldwin,
Item It  is my intention and  I do so order and  direct that my Executors do
permit and allow my venerable parents to reside where they now reside in the
cottage residence  on the  farm called Fairview,  and to occupy  possess and
enjoy that part of the said Fairview farm on the main land, which during the
time said farm was leased to Jonas

S. Satterly, was occupied by my said parents;-and that they be permitted and
allowed to occupy & possess the same during their natural lives respectively
free of any charges for rent, or any other demand that might possibly be
made of them of the use and occupancy of the same or any part.
